I'm American and have a registered business in a Thai company(Siam Deli in Laguna), the route you want to take is too complicated.
I'm the managing director and control my business so don't worry.
If you are setting it up to own land or get a work permit you will have to have a Thai director and yourself, however as you alocate shares that will determine control. Also having the sign off on the shares is important for shareholders and directors.
I know this dosen't explain much but go the route most do here and you will be fine.
